NOTICE OF ANNUAL GENERAL MEETING
BROAD BASED BLACK ECONOMIC EMPOWERMENT CERTIFICATE

Integrated Annual Report and Annual Financial Statements

Shareholders are advised that the company’s Notice of Annual General Meeting,
Form of Proxy, Electronic Participation Form and Summarised Audited Consolidated
Financial Statements have been posted to shareholders today and that its 2021
Integrated Annual Report (“Integrated Report”) will be available on the company’s
website (www.spurcorporation.com/investors/results-centre/) from 17:30 today, 29
October 2021. The company’s Audited Consolidated Financial Statements for the
year ended 30 June 2021 were published on 23 September 2021 and are available on
the company’s website.

Notice of the Annual General Meeting

Notice is hereby given that the Annual General Meeting (“AGM”) of Spur Corporation
shareholders will be held entirely via a remote interactive electronic platform at
11:00 on Friday, 10 December 2021 to transact the business as stated in the Notice
of AGM, which was posted to shareholders on, and available on the company's
website from, 29 October 2021.

Salient dates

The Notice of AGM was posted to shareholders of the company who were recorded
as such in the company's securities register on Friday, 22 October 2021.

The date on which shareholders of the company must be recorded as such in the
company's securities register in order to attend and vote at the AGM is Friday, 3
December 2021. The last day to trade in order to be entitled to vote at the AGM is
Tuesday, 30 November 2021.

The procedures to be followed by certificated and dematerialised shareholders who
wish to appoint proxies to vote at the AGM, or who wish to register to vote at and
attend, or wish to vote at but not attend, the AGM are set out in the Notice of AGM.
If Forms of Proxy are directed to the company’s transfer secretaries, these must be
lodged by no later than 11h00 on Thursday, 9 December 2021.

Broad-based Black Economic Empowerment Certificate

Shareholders are hereby notified that in accordance with the JSE Listings
Requirements, Spur Corporation’s compliance report in terms of section 13G(2) of
the Broad-Based Black Economic Empowerment Act 53 of 2003 read with the Broad-
Based Black Economic Empowerment Amendment Act 46 of 2013, has been
published and is available on the company’s website, at the following address
www.spurcorporation.com/investors/results-centre/

Update on previously disclosed legal matter with SARS

Shareholders are referred to the SENS announcement dated 18 October 2021,
wherein they were advised of a significant event which occurred subsequent to the
reporting date, but prior to the date of issue of the Integrated Report, namely the
judgment handed down by the Supreme Court of Appeal (“SCA”) on 15 October 2021
in the matter of disputed income tax assessments between Spur Group Proprietary
Limited, a wholly owned subsidiary of the company (“Spur Group”) and SARS,
wherein the SCA upheld SARS’ appeal and issued judgment against Spur Group.
The group is considering its rights in consultation with legal counsel and will
determine the appropriate course of action.

As a result of the SCA ruling, the R22.034 million tax receivable, recognised as an
asset on Spur Corporation’s consolidated statement of financial position as at 30
June 2021, will be charged to profit or loss as an additional income tax and interest
expense.

In terms of the judgment, Spur Group will be required to settle SARS’ legal costs,
which are not yet determined. The disputed income tax assessments were settled in
cash in earlier financial years. The SCA judgment therefore has no cash flow impact
on Spur Group, other than SARS’ legal costs.
