DEALINGS IN SECURITIES
In compliance with paragraphs 3.63 to 3.65 of the Listings Requirements of the JSE Limited ("JSE"),
notice is hereby given of the following dealings by the directors, prescribed officers and the company
secretary of Implats and its major subsidiaries, after having received clearance to do so in terms of
paragraph 3.66 of the JSE Listings Requirements.
The transactions below were pursuant to the on-market exercise of the Performance Share Plan
(PSP) in terms of the Company's Long-Term Incentive Plan (LTIP) which requires participants to
either (a) sell the vested shares (b) sell enough shares to cover the taxes due on the vested shares
or (c) retain the vested shares and deliver in cash the amount due to cover the taxes on the vested
shares. The tax event takes place on the day that the shares vest to the participant. The trades
include one off-market cash settled transaction.
The election of certain executives to commit PSP shares towards the Minimum Shareholding
Requirement (MSR) took place before the vesting date. To this end, the vesting of the Performance
Shares for these executives has been deferred to 1 January 2027 as per the rules of the Implats
MSR Policy.
