| MTN issues cautionary |

MTN has announced that the company is involved in discussions relating to certain of the non South African assets and a potential transaction. This cautionary is unrelated to the cautionary issued on the 19 Nov 02, however, shareholders are again advised to exercise caution when dealing in the company's shares until a further announcement is made. |
