MTN - transaction update

Shareholders are referred to the MTN announcement of 15 February 2018 in which it was stated that MTN and Main Street 1561 (Pty) Ltd. ("Main Street 1561") (being an associate of one of the MTN directors for purposes of the JSE Ltd. Listings Requirements) had agreed to extend the date for fulfilment of the conditions precedent under the Sale of Shares Agreement for the sale of ordinary shares in MTN Zakhele Futhi (RF) Ltd. ("Sale Shares") to Main Street 1561 ("the Transaction"). In addition, subject to the satisfaction or waiver of the conditions precedent, completion of the Transaction (including the transfer of the Sale Shares to Main Street 1561 and payment of the purchase price to MTN) had also been extended to, and was set to occur on or before, 30 March 2018 ("Completion Date"). Shareholders are informed that, following satisfaction of the conditions precedent to the Transaction, MTN and Main Street 1561 have agreed to extend the Completion Date to 30 June 2018.
