In conformity with the European Union Transparency Directive`s transitional 
    provision 6, Datatec Limited ("Datatec" or the "Company") is required to    
    notify the market of the following:                                         
    At the date of this announcement, Datatec`s capital consists of 155,241,192 
ordinary shares of ZAR 0.01 each, with voting rights.                       
    The Company holds 684,069 ordinary shares in Treasury.  Therefore, the      
    total number of voting rights in Datatec is 154,557,123.                    
    The above figure (154,557,123) may be used by shareholders as the           
denominator for the calculations by which they will determine if they are   
    required to notify their interest in, or a change to their interest in      
    Datatec Limited under the FSA`s Disclosure and Transparency Rules.
