FURTHER CAUTIONARY ANNOUNCEMENT

Datatec released a cautionary announcement on SENS on 2 March
2020 (“First Cautionary Announcement”) when shareholders were
advised that Datatec is exploring the possibility of a listing
(the “Potential Listing”) of Logicalis’ Latin American business
(the “Latin American Business”) on the B3 S.A. – Brasil, Bolsa,
Balcão (www.b3.com.br - Brazilian stock exchange). In connection
with the Potential Listing shareholders were advised that the
Latin American Business and its shareholders would potentially
carry out a primary and secondary offering of the shares of the
Latin   American  Business,   subject  to   satisfactory  market
conditions.

Further to the First Cautionary Announcement, shareholders are
advised that the Potential Listing is still under consideration and
the rationale for the listing remains intact. The impact of the
Covid-19 global crisis and resulting equity capital markets
volatility on the timing of the Potential Listing is still being
determined. Accordingly, shareholders are advised to continue
exercising caution when dealing in the Company’s securities until a
further announcement is made.
