DEALING IN SECURITIES BY A DIRECTOR AND FURTHER ISSUES OF SHARES                
In accordance with the rules of the Datatec Share Appreciation Rights Scheme    
2005, Mr Montanana has exercised the Share Appreciation Rights ("SARs")         
granted to him in 2006 (which vested in May 2009) and 2009 (which vested in     
May 2012). The value of the SARs on exercise is being share-settled by the      
issue of 408,640 new Datatec shares.                                            
In compliance with the JSE Listings Requirements and the AIM Rules, the

Application has been made to the London Stock Exchange for the admission of     
these shares to the Alternative Investment Market, and to the JSE Limited for   
the listing of these shares.  Listing on both exchanges is expected to become   
effective on 28 June 2012.                                                      
Following this exercise of SARs, Mr Montanana has a beneficial interest in 14   
740 514 Datatec Shares representing 7,8 per cent of the total voting rights     
in the Company.                                                                 
Datatec also announces the allotment of 3 000 ordinary ZAR0.01 shares           
following the exercise of share options by employees.  Application has been     
made to the London Stock Exchange for the admission of these shares to the      
Alternative Investment Market, and to the JSE Limited for the listing of        
these shares.  Listing on both exchanges is expected to become effective on     
27 June 2012.                                                                   
After the share issues noted above, the number of Datatec shares in issue       
will be 189 270 060 of which 14 274 are Treasury Shares.
