NOTICE OF GENERAL MEETING                                                       
Notice is hereby given that a general meeting of Datatec shareholders will be   
held at the Company`s offices, Sandton Chambers, Sandton Village, 16 Maude      
Street, Sandton, Johannesburg, South Africa on 23 December 2009 at 10:00 for    
purposes of obtaining authority to issue $19.8 million worth of new Datatec     
shares as consideration for the acquisition of NetStar Group, as announced      
earlier today and explained in the general meeting notice which will be         
distributed to shareholders today.
